Thank you for your interest in attending ZapConnect (the “Event”)! By registering for the Event, you agree to these terms and conditions (the “Agreement”), which form a binding legal contract between the Event’s owner and host, Zapier, Inc. (“Zapier”), and the registered participant (“you” or “Participant”). If you are unwilling or unable to agree to this Agreement, you, unfortunately, will not be able to register for or otherwise participate in the Event.

If you are registering another individual for the Event, you warrant that you have made the Participant aware of the terms of this Agreement and that they have accepted these terms.

1. Participant Requirements

1.1. Age of Majority. By registering for or participating in the Event, you represent and warrant that you are above the legal age required to enter into a binding contract with Zapier under applicable law.

1.2. Access. By registering, you will receive access to the Event, subject to the terms and conditions of this Agreement. All costs associated with your registration or participation in the Event shall be borne solely by you, and in no event shall Zapier be liable for any such costs.

1.3. Recordings / Use of Likeness. By registering for or participating in the Event, you hereby agree to the following:

(a) That the Event is a public-facing event, your appearance and actions at the Event are public in nature, and you therefore have no expectation of privacy with regard to your actions or conduct at the Event; and

(b) That Zapier and its agents may record, film, livestream, photograph, and/or otherwise capture your likeness, including your name, company name, voice, picture, photograph, portrait, and other reproductions thereof, at the Event in any media now available or hereafter developed and to distribute, broadcast, use, or otherwise disseminate, in perpetuity, such media without any further approval from or payment to you. This grant includes, but is not limited to, the rights to edit such media, to use the media alone or together with other information, and to allow others to use or disseminate the media. However, Zapier is not obligated to make any use of your likeness, or exercise any of the rights granted to it.

2. Prohibited Conduct

2.1. Limitations on Use. By registering for the Event, you agree not to sell, trade, transfer, or share your access link, code, or other provided credentials unless approved in advance by Zapier in writing.

2.2. Code of Conduct / Disruptive Conduct.  By registering for the Event, you agree to abide by the Zapier Events Code of Conduct, available at this link: https://zapier.com/l/zapier-events-code-of-conduct, and incorporated by reference in this Agreement  (the “Code of Conduct”). The Code of Conduct  may be updated by Zapier from time to time.  You further acknowledge and agree that Zapier reserves the right to remove you from and/or otherwise limit your access to the Event if Zapier in its sole discretion determines that you have violated the Code or Conduct or that your participation or behavior is otherwise creating a disruption or hindering the Event or its enjoyment by other attendees.  

2.3. Recording, Live Streaming, and Videotaping. Participants may not record, broadcast, or otherwise capture audio, images or video of the Event. Zapier may, in its discretion, release recordings of certain Event sessions after the Event has taken place.

2.4. Unethical / Non-Compliant Business Practices. Zapier reserves the right to deny participation to anyone who engages in or is reputed to engage in unethical or non-compliant business practices. 

2.5. Right to Exclude. In addition to the requirements and prohibitions set forth above, Zapier may also exclude any prospective participant from registering for or participating in the Event, in Zapier’s sole and exclusive discretion.

3. Event Schedule / Cancellation

3.1. Event Schedule / Content. The Event, including its schedule, participants, and contents, is subject to change without notice. Zapier does not and cannot guarantee the attendance of any speaker or other participant at the Event, or that the Event (or any particular session or content at the Event) will take place.

3.2. Invite-Only Sessions.  In addition to the Event’s schedule/contents made available to all participants, Zapier may, in its sole and exclusive discretion, create and designate additional, specialized, and/or supplemental parts of the Event to be available to certain participants on an invitation-only basis (“Invite-Only Sessions”).  If you are invited to participate in an Invite-Only Session, you hereby agree: (a) not to share your Event credentials or otherwise grant access to Invite-Only Sessions to other participants or anyone else; and (b) that where an Invite-Only Session has been marked as “Confidential”, you shall maintain the information provided in such Invite-Only Session in strict confidence, not share any such information with others outside of your company, and require anyone within your company that you share such information with to abide by the same restriction.

3.3. Postponement / Cancellation. Zapier reserves the right to postpone or cancel the Event in its sole discretion. If for any reason, Zapier does postpone or cancel the Event, Zapier shall not be responsible for any costs or other expenses that you have incurred in anticipation of or otherwise in connection with the Event.

3.4. Force Majeure. In no event shall Zapier be responsible or liable for any failure or delay in either the Event or the performance of any other of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, COVID-19, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services.

4. Event Registration Confirmation & Email Lists

4.1. Registration Confirmation. Once you have completed your registration, you will receive a registration confirmation by email. Please ensure that your email is entered correctly on the registration form before submitting it. Please check your junk email folder in case any Event emails are caught by spam filters as well. Please note that unsubscribing to the Zapier Events & Webinars email list may result in your not receiving emails with information about ZapConnect.

4.2. Additional Zapier & ZapConnect Sponsor Emails. If you opt in to receiving content, events, and marketing emails from Zapier and ZapConnect Sponsors, you will be added to participant lists to receive information about these topics. You may later opt out of any marketing emails. 

5. Privacy and Security

5.1. Privacy Policies. Zapier will handle your personal information collected during registration and during the Event in accordance with Zapier’s Privacy Policy, a copy of which is located at: https://zapier.com/privacy. In addition, Zapier partners with Hubspot and Accelevents for the registration, organization, and administration technology used in supporting the Event. Accordingly, by registering for the Event, you agree that your personal information will be handled by: (1) Hubspot in accordance with its Privacy Policy located at: ​​https://legal.hubspot.com/privacy-policy; and (3) Accelevents in accordance with its Privacy Policy located at: ​​https://www.accelevents.com/privacy-policy/.

5.2. No Security Guarantee.  Although we use security measures to help protect your personal information against loss, misuse, or unauthorized disclosure, we cannot guarantee the security of any information transmitted in connection with the Event or otherwise to us over the internet.

5.3 Participant Event Profiles. In connection with your registration for the Event, you will be provided with a profile listing your participation in the Event. You are encouraged to review that profile to ensure your comfort with publicly sharing the information provided in it and/or add, delete, or hide information as you desire.

5.4. Sharing Your Registration Information. By attending a session hosted or sponsored by a presenter or partner, you may choose to authorize Zapier to share your personal information collected during registration with that particular presenter or partner and agree to receive communications from such presenter or partner. If you do so, your personal information shall be subject to that presenter’s or partner’s privacy practices, including their applicable privacy statement or policy.

6. Intellectual Property 

6.1. Ownership. All intellectual property rights in and to the Event, Event content, and materials distributed at or in connection with the Event are owned by Zapier and/or the speakers presenting at the Event. You may not use or reproduce or allow anyone to use or reproduce any trademarks or other trade names appearing at the Event, in any Event content, or in any materials distributed at or in connection with the Event without Zapier’s prior written permission.

6.2. No Participant IP Rights. For the avoidance of doubt, nothing in this Agreement shall be deemed to vest in you any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under license by Zapier or any of its affiliates; nor does this Agreement grant to you any right or license to any other intellectual property rights of Zapier or its affiliates, all of which shall at all times remain the exclusive property of Zapier and its affiliates. 

7. Disclaimer of Warranties, Limitation of Liability 

7.1. No Zapier Warranties. Zapier gives no warranties in respect of any aspect of the Event or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability. The Event is provided on an “as-is” basis. The views, opinions, and positions expressed by the speakers, attendees, and/or sponsors at the Event are theirs alone and do not necessarily reflect the views, opinions, or positions of Zapier or any of its employees. Zapier makes no representations as to the accuracy, completeness, timeliness, suitability, or validity of any information presented by speakers, attendees, or sponsors at the Event and will not be liable for any errors, omissions, or delays in this information or any losses, injuries, or damages arising from its display or use. Zapier does not endorse, and expressly disclaims all liability relating to, any of the products or services provided or referenced by speakers, sponsors, and attendees.

7.2. No Zapier Liability. Except as required by law, neither Zapier nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages, or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with this Agreement.

7.3. Participant Assumption of Risk / Indemnification. You acknowledge and agree that your attendance and participation in the Event is voluntary, and you understand the nature of the Event. To the maximum extent permitted by law, you agree that you solely assume the risks associated with registering for and participating in the Event. You hereby agree to indemnify, release, and hold harmless Zapier, its officers, directors, employees, vendors, partners, agents, and contractors from any and all alleged and/or actual liability, claims, actions, lawsuits, damages, and losses of any kind, including legal fees, which arise out of or result from your participation in the Event and ancillary activities, including but not limited to property damage and personal injuries, illness, death, or other physical loss, whether or not foreseeable.

8. Miscellaneous

8.1. Changes / Updates. Zapier may make changes or updates to this Agreement from time to time, as indicated by the “Last Updated” date at the beginning of this Agreement. Please visit here from time to time to review the current version of this Agreement. If you are unwilling or unable to agree to any changes or updates to this Agreement, please notify Zapier promptly of your objection; in any such case, Zapier will withdraw your registration and you will unfortunately not be able to participate in the Event.

8.2. Governing Law. This Agreement and all claims arising hereunder will be governed by and construed in accordance with the laws of the State of California, excluding its conflict of laws principles.

8.3. Venue. Any judicial action with respect to the Event or this Agreement shall be filed exclusively in the federal or state courts located in the County of San Francisco. You hereby irrevocably waive any and all claims and defenses you might otherwise have in any action or proceeding in any of such courts based upon any alleged lack of personal jurisdiction, improper venue, forum non conveniens or any similar claim or defense.

8.4. Enforceability. If any provision of this Agreement is for any reason found to be unenforceable, the remainder of this Agreement will continue in full force and effect to the fullest extent permitted by law.

8.5. Entire Agreement. This Agreement and its incorporated documents constitute the complete and exclusive understanding and agreement of the parties and supersede all prior understandings and agreements, whether written or oral, with respect to the subject matter hereof.
